Skillsoft Completes Sale of Global Knowledge to Enduring Ventures

Skillsoft, a leading AI-native skills management platform, announced that it has completed the sale of its Global Knowledge business to an affiliate of Enduring Ventures. The completion of the transaction simplifies Skillsoft’s corporate portfolio, allowing the company to focus all resources on expanding its AI-native skills intelligence and workforce enablement platform.

The divestiture aligns with a shifting corporate environment where rapid advancements in artificial intelligence and cybersecurity are fundamentally rewriting enterprise talent requirements. By moving away from separate, non-core operational units, Skillsoft refocused its corporate infrastructure around its core digital learning platform, helping enterprise clients track and manage human capabilities as an adaptable, real-time supply chain.

Securing On-Demand and Instructor-Led Training Ecosystems

To prevent service interruptions or disruptions to enterprise clients, Skillsoft and Global Knowledge will maintain a long-term strategic partnership. The commercial alignment ensures that Skillsoft customers retain uninterrupted access to Global Knowledge’s extensive catalog of live, instructor-led technical training courses. Concurrently, Global Knowledge customers will gain access to Skillsoft’s digital learning content, enterprise platform layers, and automated skills intelligence tracking.

For Global Knowledge, the transition marks its launch as a fully independent enterprise entity. Backed by the long-term capital of Enduring Ventures, the company will focus entirely on delivering expert, live instructional programs tailored to the high-demand cybersecurity and generative AI sectors.

Unveiling Transaction Specifics and Governance Blueprints

The financial terms of the divestiture align with the structured Sale and Purchase Agreement initially announced on May 20, 2026:

Initial Closing Consideration: Skillsoft received approximately $5.4 million in the form of a secured, interest-bearing seller note, following closing adjustments for estimated working capital, cash positions, and underlying debt.

Deferred Consideration: Skillsoft is entitled to an additional $10.0 million in deferred cash consideration, payable in five equal quarterly installments starting nine months post-closing.

Liability Deductions: The final deferred payouts will be reduced by approximately $2.0 million to account for specific long-term employee liabilities transferred with the business.

Intellectual Property Security: The buyer’s payment obligations are fully guaranteed and secured by Global Knowledge’s core intellectual property assets.

The strategic divestiture follows a thorough assessment of the business previously disclosed by management. Net proceeds from the transaction will be allocated toward general corporate purposes, software research, and the acceleration of AI functionalities within Skillsoft’s proprietary learning environments.
