BGSF, Inc. has entered a definitive agreement to sell its Professional Division-encompassing IT consulting, finance and accounting, managed services, and near/offshore software engineering-to INSPYR Solutions, an A&M Capital Partners portfolio company, for $99 million in cash, with the deal expected to close in the second half of 2025 pending shareholder and customary approvals. Beth Garvey, BGSF’s Chair, President, and CEO, stated, “Today, we are excited for this milestone and the journey ahead for our Professional team as they help lead the next phase of growth as part of INSPYR. We are extremely proud of all the talented people in the Professional division… and we wish them the best.”

Post-acquisition, Garvey and board member Cynthia Marshall will step down effective July 1, 2025, and interim co‑CEOs Kelly Brown and Keith Schroeder will helm BGSF, focusing on scaling its Property Management business. INSPYR CEO Trent Beekman added that the acquisition “will further strengthen INSPYR Solutions’ technology and talent solutions with the addition of new strategic partnerships.” BGSF plans to allocate the proceeds toward debt reduction and bolstering its core property management operations.
